Summary

Asmbly's Board of Directors (The Board) consists of a President, a Secretary, a Treasurer, and an unspecified number of "at large" board members. Board members are the fiduciaries who steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as by making sure the nonprofit has adequate resources to advance its mission. The board partners with, and guides, the executive director toward a long term vision for Asmbly. Board meetings are held once a month in accordance with Asmbly's bylaws(currently the third Wednesday of each month).

    • The document that creates Asmbly as a legal entity is called the bylaws. The organizations activities are governed by the bylaws.

    • Minutes are posted publicly to inform the community about board activities.
    • Minutes are delayed by at least a month, as they are only posted after a vote of the full board to approve them.

Composition

New board members are elected by a majority vote of the current board to two year terms. Board terms are staggered so not everybody's up for replacement in the same year. The bylaws require at least three directors, and the exact number is set by the Board. The board has been expanded as needed to grow with the organization.

Board Members do not receive material benefit or perks from their service. All board members are volunteers, paying members, and donors to the organization.

Current board members can be found on the Leadership page or the Asmbly website. The bylaws define three specific roles, all other members fall into a general role, as follows:

  • President - owns the agenda and generally runs board meetings. Asmbly's president is a voting member of the board.
  • Secretary - is responsible for meeting minutes, governing documents, and official policies of Asmbly.
  • Treasurer - is responsible the corporate funds and maintaining correct books and records of account.
  • At-Large Board Members- Don't have any specific responsibilities beyond participating in board work and voting on motions before the board.

Committees of the Board

Committees of the board are formed according to the bylaws. Committees are assigned to work on specific tasks and make recommendations to the board. Committees may be ad-hoc (short term) or standing (long term). Committees may contain non board members so are a great way to get involved in board activities.

Active committees

  • Finance - Responsible for financial management in coordination with operations.
  • Development - Responsible for donor stewardship, grants, and donor development.
  • Disciplinary - responsible for handling complex disciplinary issues by gathering facts, making disciplinary recommendations, following up with interested parties, and maintaining the disciplinary archive.

  • Create a budget and track spending vs that budget.
  • Hire a paid executive director.
  • Audit governance documents, such as the bylaws, for adherence with non profit best practice.
  • Formalize a 3-5 year strategic plan, including facility ownership/expansion goals
